These Terms of Service (“Terms”) govern your access to and use of the Quantiles website, platform, applications, and related online services (collectively, the “Services”). These Terms form a binding agreement between Quantiles (“Quantiles,” “we,” “our,” or “us”) and the individual or entity (“you” or “Customer”) using the Services.
Open Source Software made available by Quantiles is governed by its applicable open source license, not these Terms, except where you use the hosted Services or create a Quantiles account.
By accessing or using the Services, creating an account, or clicking “Accept,” you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
The Services are intended for use only in the United States. You may not access or use the Services if you are located outside the United States.
You must be at least 18 years old to use the Services.
If you are using the Services on behalf of an enterprise customer, these Terms apply to your organization and all Authorized Users under your account.
Your use of the Services is also governed by the Quantiles Privacy Policy, which is incorporated into these Terms by reference.
Quantiles provides tools and infrastructure for AI model evaluation, benchmarking, analytics, and related services for research, development, and analysis.
The Services are AI evaluation and analysis tools. They do not provide legal, medical, financial, employment, insurance, credit, public safety, or other professional advice and are not designed or intended to be used as the sole basis for making high-impact decisions.
No output, benchmark, evaluation score, data, or other result generated by the Services should be interpreted as professional advice, regulatory guidance, clinical guidance, or a substitute for human review and professional judgment. The customer is solely responsible for determining the appropriateness of any use of the Services in a regulated, high-risk, clinical, or healthcare setting.
You must not upload or transmit sensitive or regulated data unless you are authorized to do so and have all required permissions, notices, consents, and agreements in place. You must not upload or transmit Protected Health Information (“PHI”) unless you have executed a valid Business Associate Agreement (“BAA”) with Quantiles. Quantiles is not responsible for PHI submitted outside a BAA.
Customer represents and warrants that it has all necessary rights, permissions, and authorizations to provide, generate, and process test data, generated data, and related information through the Services. Customer is solely responsible for reviewing such data before using it in production, regulated, or other high-risk workflows.
We may modify, update, or discontinue parts of the Services at any time. We will provide notice of material changes where legally required.
Quantiles does not guarantee uninterrupted availability of the Services. The Services may be temporarily unavailable for maintenance, upgrades, or other reasons.
You must provide accurate information when registering and keep it up to date.
You are responsible for maintaining confidentiality of login credentials and for all activity occurring under your account.
Enterprise Customers are responsible for their Authorized Users’ compliance with these Terms.
You retain all rights in data you upload or submit to the Services (“Customer Data”), including prompts, datasets, models, model inputs and outputs, traces, logs, annotations, evaluation artifacts, metrics, and data you generate.
You grant Quantiles a non-exclusive, worldwide, royalty-free license to:
Quantiles does not use Customer Data to train general-purpose AI models unless you direct us to do so or agree otherwise.
You represent and warrant that you have all rights necessary to provide Customer Data to the Services and that your uploads do not violate any agreement, privacy law, intellectual property right, or third-party restriction. Quantiles is not responsible for any data uploaded in violation of law or customer obligations.
The customer is solely responsible for validating the accuracy, safety, performance, and suitability of any AI model, dataset, or system tested, evaluated, or benchmarked using the Services.

Quantiles may suspend or restrict access to the Services if we determine, in our sole discretion, that your use poses a security, legal, operational, or reputational risk.
The restrictions in this Section apply to the proprietary Services and do not limit rights granted under applicable open source licenses.
You may not access or use the Services in violation of U.S. export control, sanctions, or trade laws, including those administered by the U.S. Department of Commerce (BIS) or the U.S. Department of the Treasury (OFAC). You represent that you are not located in, under the control of, or a resident or national of any country or region subject to comprehensive U.S. sanctions, and that you are not a prohibited or restricted party under U.S. law.
Except for Customer Data and Open Source Software, Quantiles owns all rights, title, and interest in and to the proprietary portions of the Services, including:
Quantiles also makes certain open source software available, including the Quantiles open source project at https://github.com/quantiles-evals/quantiles (“Open Source Software”). Open Source Software is governed by the applicable open source license included with that software. These Terms do not limit rights granted under those open source licenses. If these Terms conflict with an applicable open source license, the open source license controls for that Open Source Software.
Third-party open source components included in or used with the Services are governed by their respective licenses.
Except for rights expressly granted under these Terms or an applicable open source license, no rights are granted to you.
Subject to these Terms, Quantiles grants you a non-exclusive, non-transferable, revocable license to access and use the proprietary Services. Your use of Open Source Software is governed by the applicable open source license for that software.
If you provide feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you grant Quantiles a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and commercialize the Feedback without restriction or obligation. Feedback does not create any confidentiality obligation or entitlement to compensation.
Unless otherwise agreed in writing, Quantiles may identify Customer as a customer of the hosted or private Services and may use Customer’s name and logo for marketing and promotional purposes. Use of Quantiles Open Source Software, including downloading, using, forking, starring, contributing to, or otherwise interacting with the software, does not grant Quantiles permission to use a person’s or organization’s name or logo. Customer may revoke this permission at any time by providing written notice.
If your plan includes paid features, you agree to pay all applicable fees.
Charges are billed in advance or as otherwise specified in your order or subscription.
Except where required by law or explicitly stated in an order document, all fees are non-refundable.
Fees are exclusive of applicable taxes, which you are responsible for paying.
“Confidential Information” includes business information, Customer Data, product plans, and other non-public information disclosed by either party.

Quantiles implements administrative, technical, and physical safeguards appropriate for an AI evaluation SaaS platform. However, no system is completely secure, and Quantiles does not guarantee absolute security.

Termination of access to the proprietary Services does not terminate rights granted under an applicable open source license.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QUANTILES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
Quantiles makes no representations that the Services, evaluations, or data are suitable for use as the sole basis for high-impact decisions, including decisions involving healthcare, clinical care, legal rights, financial services, employment, housing, education, insurance, public safety, or other regulated contexts. Quantiles does not guarantee that any evaluation, benchmark, or dataset will identify or prevent safety issues, model failures, hallucinations, bias, privacy issues, security issues, or other risks associated with AI systems. Quantiles does not validate or guarantee the accuracy, completeness, or performance of any model, dataset, prompt, output, or artifact provided by Customer or generated through the Services.

Quantiles is not responsible for regulatory penalties, fines, damages, or legal claims arising from Customer’s failure to comply with applicable law, to obtain required permissions, notices, consents, or agreements, or to execute a Business Associate Agreement (BAA) before uploading or transmitting PHI.
You agree to indemnify, defend, and hold harmless Quantiles from and against claims arising out of:
The customer is solely responsible for determining whether its use of the Services is appropriate for Customer’s intended purposes. Customer assumes all risk arising from any use of the Services, including without limitation use in any high-risk, regulated, clinical, medical, financial, employment, insurance, public safety, or other sensitive context. Customer will indemnify and hold harmless Quantiles from any claims arising out of or related to such use, including claims based on high-impact decisions, regulated outcomes, medical outcomes, or reliance on evaluation results or data.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms will be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association (AAA). Either party may seek injunctive relief in a state or federal court located in California.
Quantiles may update these Terms from time to time. Changes become effective upon posting. Your continued use of the Services indicates acceptance of updated Terms.
