Quantiles Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Quantiles website, platform, applications, and related online services (collectively, the “Services”). These Terms form a binding agreement between Quantiles (“Quantiles,” “we,” “our,” or “us”) and the individual or entity (“you” or “Customer”) using the Services.

By accessing or using the Services, creating an account, or clicking “Accept,” you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility and scope

1.1 U.S.-Only Use

The Services are intended for use only in the United States. You may not access or use the Services if you are located outside the United States.

1.2 Age requirement

You must be at least 18 years old to use the Services.

1.3 Enterprise users

If you are using the Services on behalf of an enterprise customer, these Terms apply to your organization and all Authorized Users under your account.

1.4 Privacy policy

Your use of the Services is also governed by the Quantiles Privacy Policy, which is incorporated into these Terms by reference.

2. The Services

2.1 Description

Quantiles provides tools and infrastructure for AI model evaluation, benchmarking, synthetic data generation, analytics, and related services for research, development, and analysis.

2.2 No medical advice

The Services are not medical devices, do not provide medical advice, and are not designed or intended to be used as the sole basis for making clinical decisions.

No output, benchmark, evaluation score, synthetic data, or other result generated by the Services should be interpreted as medical advice, clinical guidance, or a substitute for professional judgment. Customer is solely responsible for determining the appropriateness of any use of the Services in a clinical or healthcare setting.

2.3 HIPAA and PHI handling

You must not upload or transmit Protected Health Information (“PHI”) unless you have executed a valid Business Associate Agreement (“BAA”) with Quantiles. Quantiles is not responsible for PHI submitted outside a BAA.

2.4 Synthetic data

Synthetic data provided by or generated through the Services is not PHI and does not contain real patient information.

2.5 Changes to the service

We may modify, update, or discontinue parts of the Services at any time. We will provide notice of material changes where legally required.

Quantiles does not guarantee uninterrupted availability of the Services. The Services may be temporarily unavailable for maintenance, upgrades, or other reasons.

3. Accounts and authorized users

3.1 Account registration

You must provide accurate information when registering and keep it up to date.

3.2 Security and accounts

You are responsible for maintaining confidentiality of login credentials and for all activity occurring under your account.

3.3 Authorized users

Enterprise Customers are responsible for their Authorized Users’ compliance with these Terms.

4. Customer data

4.1 Customer data ownership

You retain all rights in data you upload or submit to the Services (“Customer Data”), including datasets, models, logs, evaluation artifacts, and synthetic data you generate.

4.2 Permissions granted to Quantiles

You grant Quantiles a non-exclusive, worldwide, royalty-free license to:

• Host, store, process, and display Customer Data
• Run evaluations, benchmarks, analytical processes, or model tests on Customer Data
• Generate logs, metrics, and performance reports
• Use aggregated or de-identified versions of Customer Data for analytics, security, and improvement of the Services

4.3 User responsibility for data rights

You represent and warrant that you have all rights necessary to provide Customer Data to the Services and that your uploads do not violate any agreement, privacy law, intellectual property right, or third-party restriction. Quantiles is not responsible for any data uploaded in violation of law or customer obligations.

Customer is solely responsible for validating the accuracy, safety, performance, and suitability of any AI model, dataset, or system tested, evaluated, or benchmarked using the Services.

4.4 Prohibited customer data

You may not upload:

• PHI without a BAA
• Classified or export-controlled data
• Copyrighted or proprietary materials without authorization
• Malware or harmful code

5. Use restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code
• Interfere with or disrupt the Services
• Use automated scraping or harvesting tools
• Use the Services to develop competing products
• Circumvent access, security, or authentication mechanisms
• Use the Services for unlawful, harmful, or fraudulent purposes

5.1 Additional Acceptable Use Requirements

In addition to the restrictions above, you agree that you will not:

• Upload, submit, or run AI models that contain malware, harmful code, or security-testing payloads;
• Use the Services to train, fine-tune, or improve AI models, including synthetic-data models, unless explicitly permitted in writing by Quantiles;
• Attempt to “game” or manipulate evaluations, benchmarks, scoring pipelines, or synthetic data outputs;
• Use the Services to generate, test, or evaluate AI systems intended for unlawful, harmful, or high-risk purposes;
• Use the Services to perform security research, penetration testing, or model-reverse-engineering without Quantiles’ prior written consent;
• Upload datasets, models, or code that may reasonably be expected to harm or disrupt the Services, other customers, or third parties.

Quantiles may suspend or restrict access to the Services if we determine, in our sole discretion, that your use poses a security, legal, operational, or reputational risk.

5.2 Export control and sanctions

You may not access or use the Services in violation of U.S. export control, sanctions, or trade laws, including those administered by the U.S. Department of Commerce (BIS) or the U.S. Department of the Treasury (OFAC). You represent that you are not located in, under the control of, or a resident or national of any country or region subject to comprehensive U.S. sanctions, and that you are not a prohibited or restricted party under U.S. law.

6. Intellectual Property

6.1 Quantiles IP

Quantiles owns all rights, title, and interest in:

• The Services
• Software and code
• Evaluation pipelines
• Synthetic data engines
• Documentation
• Logos, trademarks, and branding

Except for the limited license described below, no rights are granted to you.

6.2 License to use Services

Subject to these Terms, Quantiles grants you a non-exclusive, non-transferable, revocable license to access and use the Services.

6.3 Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you grant Quantiles a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and commercialize the Feedback without restriction or obligation. Feedback does not create any confidentiality obligation or entitlement to compensation.

6.4 Publicity

Unless otherwise agreed in writing, Quantiles may identify Customer as a customer of the Services and may use Customer’s name and logo for marketing and promotional purposes. Customer may revoke this permission at any time by providing written notice.

7. Fees and payment

7.1 Fees

If your plan includes paid features, you agree to pay all applicable fees.

7.2 Billing

Charges are billed in advance or as otherwise specified in your order or subscription.

7.3 Non-refundable

Except where required by law or explicitly stated in an order document, all fees are non-refundable.

7.4 Taxes

Fees are exclusive of applicable taxes, which you are responsible for paying.

8. Confidentiality

8.1 Definition

“Confidential Information” includes business information, Customer Data, product plans, and other non-public information disclosed by either party.

8.2 Obligations

Each party agrees to:

• Protect the other party’s Confidential Information
• Not disclose it except to employees or contractors with a need to know
• Use it only for purposes of the Services

8.3 Exclusions

Confidential Information does not include information that:

• Is publicly available
• Was already known
• Was independently developed without reference to the other party’s Confidential Information
• Is required to be disclosed by law

9. Security

Quantiles implements administrative, technical, and physical safeguards appropriate for a healthcare-adjacent SaaS platform. However, no system is completely secure, and Quantiles does not guarantee absolute security.

10. Termination

10.1 By customer

You may stop using the Services at any time.

10.2 By Quantiles

We may suspend or terminate your account if:

• You violate these Terms
• You fail to pay fees
• We are required by law
• Continuing your access would create risk to the platform or others

10.3 Effect of termination

Upon termination:

• Your access to the Services ends
• Customer Data may be deleted after a retention period, except where we are required by law to retain it
• Sections 4, 6, 8, 11, 12, 13, and 14 survive termination

11. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QUANTILES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

Quantiles makes no representations that the Services, evaluations, or synthetic data are suitable for use in diagnosing, treating, curing, preventing, or mitigating any disease or medical condition. Quantiles does not guarantee that any evaluation, benchmark, or synthetic dataset will identify or prevent safety issues, model failures, hallucinations, bias, or other risks associated with AI systems. Quantiles does not validate or guarantee the accuracy, completeness, or performance of any model, dataset, or output provided by Customer or generated through the Services.

Quantiles does not warrant that:

• The Services will be error free
• Evaluations or benchmarks are accurate, complete, or suitable for any purpose
• The Services will meet Customer requirements
• Output will be free of bias, errors, or limitations

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• QUANTILES’ TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT CUSTOMER PAID IN THE 12 MONTHS BEFORE THE CLAIM.
• QUANTILES IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
• QUANTILES IS NOT RESPONSIBLE FOR DATA LOSS, DATA BREACHES (EXCEPT AS REQUIRED BY LAW), OR DAMAGES ARISING FROM CUSTOMER DATA OR THIRD-PARTY CONTENT.

Quantiles is not responsible for HIPAA penalties, regulatory fines, damages, or legal claims arising from Customer’s failure to comply with HIPAA, to obtain required consents, or to execute a Business Associate Agreement (BAA) before uploading or transmitting PHI.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quantiles from and against claims arising out of:

• Your use of the Services
• Customer data
• Violation of these Terms
• Violation of law
• Uploading PHI without a BAA
• Third-party disputes related to datasets or models you upload

Customer is solely responsible for determining whether its use of the Services is appropriate for Customer’s intended purposes. Customer assumes all risk arising from any use of the Services, including without limitation use in any clinical, medical, high-risk, or regulated context. Customer will indemnify and hold harmless Quantiles from any claims arising out of or related to such use, including claims based on clinical decisions, medical outcomes, or reliance on evaluation results or synthetic data.

14. Governing law; Dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms will be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association (AAA). Either party may seek injunctive relief in a state or federal court located in California.

15. Changes to these Terms

Quantiles may update these Terms from time to time. Changes become effective upon posting. Your continued use of the Services indicates acceptance of updated Terms.
